Export Compliance Statement
SECfilingAI is a pre-launch showcase. The software is hardware-agnostic. We do not sell, recommend, or assist in procuring hardware, and we do not support diversion to prohibited destinations.
This page is a draft prepared by the product team for counsel review. It is not legal advice and may change. For questions, contact legal@secfilingai.com.
1. Pre-launch status
SECfilingAI is a pre-launch showcase. The software is in development. No software license or hardware is offered for sale on this site. Nothing on this site is an offer to sell, a solicitation, or a commitment to supply any product or technology.
2. Hardware-agnostic software
The software is designed to run on a wide range of CUDA-capable devices, including consumer-grade cards, as well as CPUs. Performance varies by hardware. We do not publish a list of recommended controlled hardware on this site.
3. No hardware sale, recommendation, or procurement assistance
We do not sell, recommend, or assist in the procurement of any hardware. Hardware selection and acquisition are solely the customer's independent decision. We do not have any hardware partnership to announce. We are not affiliated with or endorsed by any hardware vendor.
4. No diversion
Customers must not resell, re-export, or divert hardware or software to prohibited destinations or end users, including mainland China, Hong Kong, Macau, embargoed countries or regions, restricted parties, or prohibited end uses. Customers must not use the software to facilitate the sale, transfer, or diversion of controlled hardware to any such destination or party. We reserve the right to refuse, suspend, or terminate any transaction that does not satisfy our compliance requirements.
5. Screening and disclosures
Before any future delivery, we may require sanctions and restricted-party screening, a signed end-user certificate, and a written hardware environment disclosure. The customer's representations about lawful use, end use, and hardware environment are a material condition of any future agreement. False or incomplete disclosure is a material breach and may result in immediate termination.
6. Referrals and KYC
If you ask, we may introduce you to a hardware vendor. We act solely as an introducer. The vendor is the seller and exporter of record. We do not recommend specific controlled hardware, negotiate hardware purchases, or assist in procurement. We conduct our own KYC and sanctions screening before any future delivery. We may ask whether you plan to use GPUs, what GPU type and quantity you plan to use, and where the hardware will be installed. With your consent, we may share the minimum necessary information with the hardware vendor for its independent screening. We do not rely solely on the vendor's screening for our own compliance. We do not have any hardware partnership to announce.
7. GPU enablement condition
GPU-enabled software is conditional. Where the planned hardware configuration, destination, end user, or end use requires a U.S. government export license or other government authorization, we may require a copy of that license or authorization before enabling GPU features. Where no license is required, we may accept a written no-license opinion from your counsel, subject to our review and acknowledgement. We may ask our counsel to review the opinion if there is any ambiguity, controlled configuration, high-risk destination, or red flag. A hardware vendor's written authorization may be requested as supporting evidence, but it is not a substitute for a government license where one is required. If the customer cannot provide the required evidence, we may refuse the GPU-enabled license, suspend GPU features, or offer a CPU-only license at our discretion. A CPU-only license does not authorize GPU use. We do not obtain the government license on the customer's behalf.
8. Export licenses
We do not obtain BIS export licenses on behalf of customers. Some hardware configurations may require a U.S. export license or other authorization. The customer and the hardware vendor are responsible for determining whether a license is required and for obtaining it. We do not provide legal advice on export classification or licensing.
9. Cloud and hosted use
If a customer runs the software on cloud instances that include controlled GPUs, we may require additional contractual representations and enhanced diligence. In a cloud deployment, the hardware vendor may not be an independent screening party, so the customer's own compliance obligations are more important.
10. Right to refuse
We reserve the right to refuse, suspend, or terminate any transaction, customer, or use that does not satisfy our compliance requirements, including any transaction that presents a red flag or that we cannot verify to our satisfaction.
