Terms of Use
The terms that apply to SECfilingAI.com and its public content, including KYC, export-control representations, hardware referrals, and the GPU enablement condition for any future software delivery.
This page is a draft prepared by the product team for counsel review. It is not legal advice and may change. For questions, contact legal@secfilingai.com.
1. Acceptance
By accessing SECfilingAI.com, you agree to these terms. If you do not agree, do not use the site. The site is intended for a professional and institutional audience.
2. No investment advice
Nothing on the site is investment advice, a recommendation, or an offer or solicitation to buy or sell any security. See the disclaimer.
3. Permitted use
You may read, cite, and share the public content with attribution. You may not scrape the site in a way that burdens it, remove disclaimers, misrepresent our content as an allegation or finding of wrongdoing, or imply that the SEC endorses us.
4. Intellectual property
The site's compilation, software, and marks are owned by GDLG or its licensors. Third-party names and marks belong to their owners. Open-source components are governed by their licenses.
5. Open-source components
Our provider packages are planned to be released under Apache-2.0. If you use them, the license in the package governs. They are independent of OpenBB and are not endorsed by OpenBB.
6. User submissions
If you send us a correction, message, or other submission, you grant us permission to use it for the purpose it was sent. Do not send confidential information in a first message.
7. Pre-launch status
The site is a pre-launch showcase. The software is in development. No software license or hardware is offered for sale on this site. Nothing on this site is an offer, solicitation, or commitment to supply any product or technology.
8. KYC and onboarding
Before any future delivery, we may conduct our own know-your-customer and sanctions screening. We may ask for your legal name, registration, address, country, beneficial ownership, signatories, end use, planned GPU use, hardware environment, and installation location. We may pause, refuse, or terminate a transaction if we cannot verify the information to our satisfaction. Our KYC is separate from any hardware vendor's screening.
9. Customer representations
If you enter into a future software license, hardware referral, hosted deployment, or other agreement with us, you represent and warrant that:
- You will use the software only for lawful purposes and lawful end uses.
- All hardware used with the software is acquired and used in compliance with applicable export control and sanctions laws.
- You will not resell, re-export, or divert the software or any hardware to prohibited destinations or end users, including mainland China, Hong Kong, Macau, embargoed countries or regions, restricted parties, or prohibited end uses.
- Any KYC, end-use, or hardware environment information you provide is accurate and complete, including whether the planned hardware includes controlled items.
- You will notify us promptly if your end use, hardware environment, or installation location changes.
- You are not a restricted party and are not acting on behalf of a restricted party or a prohibited end user.
These representations are a material condition of any future agreement. False or incomplete disclosure is a material breach and may result in immediate termination.
10. Export controls and sanctions
The software, hardware, and related technology may be subject to U.S. export control and sanctions laws, including the Export Administration Regulations and OFAC regulations. You may not use the site or any future product to evade those laws. We may require sanctions and restricted-party screening, a signed end-user certificate, and a written hardware environment disclosure before any future delivery. We may refuse, suspend, or terminate any transaction that does not satisfy our compliance requirements. See the Export Compliance Statement.
11. Hardware referrals
If you ask, we may introduce you to a hardware vendor. We act solely as an introducer. We are not your agent, reseller, exporter, or importer. The vendor is the seller and exporter of record. We do not recommend specific controlled hardware, negotiate pricing, or assist in procurement. We make no representation about availability, pricing, exportability, or delivery. You are responsible for your own due diligence and compliance, including any export license. We do not have any hardware partnership to announce.
12. Sharing with hardware vendors
With your consent, we may share the minimum necessary KYC and hardware environment information with a hardware vendor for its independent screening and fulfilment. We do not rely solely on the vendor's screening for our own compliance. We require the vendor to keep the information confidential and to use it only for screening and fulfilment.
13. GPU enablement condition
GPU-enabled software is conditional. Where the planned hardware configuration, destination, end user, or end use requires a U.S. government export license or other government authorization, we may require a copy of that license or authorization before enabling GPU features. Where no license is required, we may accept a written no-license opinion from your counsel, subject to our review and acknowledgement. We may ask our counsel to review the opinion if there is any ambiguity, controlled configuration, high-risk destination, or red flag.
A hardware vendor's written authorization may be requested as supporting evidence, but it is not a substitute for a government license where one is required. If you cannot provide the required evidence, we may refuse the GPU-enabled license, suspend GPU features, or offer a CPU-only license at our discretion. A CPU-only license does not authorize GPU use. We do not obtain the government license on your behalf.
14. No license procurement
We do not obtain BIS export licenses on behalf of customers. Some hardware configurations may require a U.S. export license or other authorization. The customer and the hardware vendor are responsible for determining whether a license is required and for obtaining it. We do not provide export classification or licensing advice.
15. Refusal and termination
We reserve the right to refuse, suspend, or terminate any transaction, customer, or use that does not satisfy our compliance requirements, including any transaction that presents a red flag or that we cannot verify to our satisfaction.
16. Audit and confirmation
For higher-risk profiles, we may request confirmation of continued lawful use, a limited audit, or updated end-use and hardware information. You agree to cooperate with a reasonable request.
17. Indemnification
To the extent permitted by law, you will indemnify and hold harmless GDLG from losses, claims, or expenses arising from your breach of these terms or your violation of applicable export control or sanctions laws. The final wording is being prepared by counsel.
18. Disclaimers
The site and its content are provided “as is” and “as available”, without warranties of any kind, to the maximum extent permitted by law. Information may be incomplete, delayed, or wrong. Verify against the original filing.
19. Limitation of liability
To the maximum extent permitted by law, GDLG is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or use, arising from the site or its content. The final wording is being prepared by counsel.
20. Governing law
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. The venue for disputes is being confirmed with counsel.
21. Changes
We may update these terms. The date at the top of the page shows the latest version.
